These Terms and Conditions, together with any and all other documents referred to herein, set out the terms of use under which you may use Suma Mobile Application (“Suma”) and any services thereof (“Our services”).
Please read these Terms and Conditions carefully and ensure that you understand them.
Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of our services.
If you do not agree to comply with and be bound by these Terms andConditions, you must stop using our services immediately.

Access and use of our services
Suma provides information technology services through a mobile application that enables private dispatch riders to connect with, and offer delivery services to customers.
Suma does not offer delivery services but only provides information on transactions, and receipts of delivery services via email to parties using our platform to provide and receive delivery services.
Downloading, installation and use of Suma app is free and open to businesses and individuals who are deemed legally qualified to transact business in your jurisdiction.
You may use the technology for purposes of providing or receiving delivery services.
In order to use our Services, you must register for and maintain an active personal user account (“Account”). Account registration requires you to submit to Suma, certain personal information, such as your name, email address, and mobile phone number.
User license
Subject to your continuing compliance with these Terms, Suma Systems Limited grants you a personal, non-transferable, non-assignable, revocable, and non-exclusive license to use our technology and other services we may provide to you.
This license is for the sole purpose of enabling you to provide or receive delivery services, in the manner outlined by these Terms and any additional terms or guidelines.
You may not attempt to make any alterations to the technology. Our software may automatically download and install updates on your device without prior notification to you. The license granted herein may be revoked automatically, and we are entitled to block and delete your Account without prior notice.
Ordering and cancelling delivery services
To order or receive a delivery service on our platform, your device location services must be turned on, to enable you designate your pick up location, and to allow the technology to process the transaction between the provider(s) and receiver(s) of the delivery service.
If you order a delivery service via the platform, you enter into a contract with a private dispatch rider (“Provider”) who agrees to deliver the service. All disputes arising from the transaction shall be resolved between the provider and the receiver of the specified delivery service based on the contract.
If you request a delivery service and the rider accepts to undertake the delivery, then the delivery service is considered to be ordered.
When you order a delivery service, you agree to pay the rider the cost of the service as determined by the contract. Payment can be made in cash or as agreed by both parties.
Cost of delivery services will be calculated by Suma based on a default base rate, the distance of the specific journey as determined by the GPS-based device and the duration of the specific journey, and made available to all parties of the contract.

Cancelling the use of an ordered delivery service is considered to be the situation where the rider has accepted your request and you subsequently, cancel or refuse the delivery service. When a delivery service request is cancelled after the rider has travelled for up to 100 meters or beyond, you are required to pay a cancellation fee, determined by Suma.
If you cancel a delivery service request on multiple successive instances (3 times within 24hours) we may temporarily block your account as a warning. We reserve the right to block your account permanently or for a specified period of time, after which you may be eligible to apply for review/consideration to reactivate your account.
The rider shall notify the receiver of the service on arrival at the designated pick up point. If the receiver of the service does not arrive at the designated pickup point within 5 minutes or as agreed in the contract, Suma app may continue to calculate fare on a waiting time basis according to the rates specified in the Suma app.
If the receiver of the service does not arrive at the designated pick up point after 10 minutes, the order will be deemed cancelled and associated costs borne by the receiver of the service.
If an outbound package is in the possession of a rider in this situation, both parties to the contract shall decide on a specified destination to deliver the package, and costs borne by the receiver of the service. If both parties of the contract do not agree on a suitable destination to deliver the package in this case, the rider may return the package to Suma office until the dispute is resolved.
Suma does not make any commitments, guarantees or warranties for preservation, safety, damages or cost associated with packages returned to our office.
User Conduct on the platform.
You agree not to use Suma platform to:

- Submit any content that is inaccurate, harmful to other users, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically unacceptable
- Violate any applicable laws or regulations in your jurisdiction
- impersonate any person or entity, or submit content that you do not have the right to make available or that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any person or entity
- Make advertisements or other commercial solicitations without our prior written permission.
Our Warranties and Disclaimers
The services are provided “as is” and “as available.” Suma makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability or availability of the services or any services requested through the use of our platform, or that the services will be uninterrupted or error-free. Suma does not guarantee the quality, suitability, safety or ability of third party riders. You agree that the entire risk arising out of your use of the platform, and any services requested herein, remains solely with you, to the maximum extent permitted under applicable law.
Liability for our Services
To the extent permitted by law, Suma systems limited and our partners will not be responsible for lost profits, revenues, data, financial losses, indirect or unforeseeable losses arising from your use of our services or your inability to access our services. The total liability of Suma systems limited, and its partners, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services.
Governing Law; Arbitration
These Terms shall be exclusively governed by and construed in accordance with the laws of Ghana, except expressly outlined in these terms.
Updating the terms
Suma reserves the right to update these terms of use at any point in time without prior notification to you. Any updates will be published on our platform and a notification sent to you by email. By continuing to use our services upon any updates to these terms, you agree to the updated terms of use.

Downloading, installation and use of Suma Mobile app is free and open to businesses and individuals who are deemed legally qualified to transact delivery business in your jurisdiction.
You may use the platform for purposes of providing or receiving delivery services.
In order to use our Services, you must register for and maintain an active user account (“Account”). Account registration requires you to submit to Suma, certain personal information, such as your name, email address, mobile phone number, photo, national ID, and information about vehicle/motor, licensing, insurance and criminal records.
User license
Subject to your continuing compliance with these Terms, Suma Systems Limited grants you a personal, non-transferable, non-assignable, revocable, and non-exclusive license to use our technology and other services we may provide to you.
This license is for the sole purpose of enabling you to provide or receive delivery services, in the manner outlined by these Terms and any additional terms or guidelines.

The license granted herein may be revoked automatically, and we are entitled to block and delete your Account without prior notice.
Additionally, we may give you tags, labels, stickers or other signs that refer to Suma brand or otherwise indicate you are using the Suma platform. We grant you a non-exclusive, non-sub licensable, non-transferable license to use such signs, and only for the purpose of indicating you are providing deliver services via the Suma platform. If we revoke your license, you must immediately remove, return or discard any materials that refer to Suma brand.
Providing delivery services
You acknowledge that Suma provides information technology services through a mobile application that enables you to connect with, and offer delivery services to customers. You are providing delivery services on the platform as an independent provider or via a company as an economic or professional activity.
By accepting a request for a delivery service via the platform, you enter into a contract with the receiver of the service. All disputes arising from the transaction shall be resolved between you and the receiver of the specified delivery service based on the contract.
You hereby guarantee to provide delivery Services in accordance with these Terms, as well as laws and regulations applicable in the jurisdiction where you are providing delivery services. Please note that you are fully liable for any violation of any local laws and regulations applicable to the provision of delivery services.
You must have all licenses including a valid driver’s license, insurance cover, registrations, certifications and other documentation that are required in the applicable jurisdiction for providing delivery services. It is your obligation to maintain the validity of all aforementioned documentation. Suma reserves the right to require you to present evidence and submit for review all the necessary licenses, permits, approvals, registrations and certifications.
You acknowledge that you are not our employee, nor have any employee relationship with Suma. You retain the sole right to determine when you are providing the delivery services. You shall accept, decline or ignore delivery service requests at your own will.
You are obliged to complete all your tax registrations and comply with tax regulations in the jurisdiction in which you provide the delivery services.
You are obliged to provide and maintain all equipment and means that are necessary to provide the delivery services at your own expense, including a motor/car and smartphone. You are also responsible for paying all costs you incur in the course of providing the delivery services including, but not limited to, fuel, mobile data, repairs, road tolls, tax.
When you offer a delivery service, you agree to collect payment for the cost of the service from the receiver of the service as determined by the contract. Cost of delivery services will be calculated by Suma based on a default base rate, the distance of the specific journey as determined by the GPS-based device and the duration of the specific journey. The default base rate may fluctuate based on the local market situation. Payment can be collected in cash or as agreed by both parties in the contract.
If you encounter any challenges with fare for a specific journey, you shall notify Suma by using the “Help”button in Suma app to report details of the challenges for review.
Accepting and cancelling delivery service orders
To accept a request for a delivery service on our platform, your device location services must be turned on, to enable you designate your pick up location, and to allow the technology to process the transaction between provider(s) and receiver(s) of the delivery service.
If you accept a request to undertake a delivery service, then the delivery service is considered to be ordered.
Cancelling the use of an ordered delivery service is considered to be the situation where you have accepted a request for a delivery service, and the receiver of the service subsequently, cancel or refuse the delivery service.
When a delivery service request is cancelled after you have travelled for up to 100 meters or beyond, you will be paid cancellation compensation, determined by Suma.

Ratings and activity
You hereby acknowledge that receivers of the delivery services may provide you a rating and leave feedback regarding the quality of the delivery services that you have provided. Your average rating will be linked to your account and will be available to receivers of the services. Rating or feedback that we find not to be given in good faith may not be projected in the calculations of your average rating.
We measure your level of activity and provide you with an activity score, which is based on how you accept, decline, ignore and complete delivery service requests.
In order to provide reliable, high-quality service to receivers of the service, we may determine a minimum average rating and a minimum activity score that riders must establish and maintain. We shall notify you to increase your average rating or activity score to minimum level within a prescribed time period. Your account shall be automatically suspended temporarily or permanently if you do not meet the minimum requirement within the time period. You retain the right to apply to us for a review of the suspension of your account.
User Conduct on the platform.
